Terms of Service

Acceptance of Terms

Argonous is operated by HYPERSAGI LTD. By engaging Argonous you agree to these Terms of Service along with any statements of work or proposals that reference them.

Engagement Scope

Project deliverables, timelines, and responsibilities are defined in mutually approved statements of work.

• Changes in scope will be documented and may adjust project estimates or delivery schedules
• We collaborate asynchronously across time zones while maintaining agreed communication cadences
• Client stakeholders provide timely feedback, access, and approvals to keep milestones on track

Intellectual Property

Unless otherwise agreed in writing, clients receive ownership of final deliverables upon completion and full payment.

• Argonous retains the right to reuse non-client-specific tools, methods, templates, frameworks, and background IP developed prior to or outside the engagement
• Pre-existing materials contributed by either party remain the property of the contributing party
• We may reference anonymized outcomes in case studies with your consent

Payment & Invoicing

Invoices follow the schedule defined in the statement of work. Payments are due within 14 days unless stated otherwise.

• Late payments may pause active work and incur finance charges as permitted by law
• All fees are exclusive of applicable taxes, which will be added where required
• Retainers for ongoing engagements are invoiced at the beginning of the billing period

Confidentiality & Security

Both parties agree to safeguard confidential information using reasonable security controls and to use it only for the purposes of the engagement.

Website, Contact & Scheduling

Email enquiries and call arrangements are provided for business development and engagement coordination.

• Contact links open your email app. You send the message there; the website does not submit an enquiry or send an automatic acknowledgement.
• Discovery calls are arranged by email. Opening an email link or sending a request does not reserve a time; we will reply to agree the arrangements.
• Website and server logs may be retained for security, abuse prevention, diagnostics, and service reliability
• Requesting a Website Discovery Call does not confirm a booking or start a paid engagement. Scope, fees and any paid next step are agreed in writing.

Website Build & Care

The website build and any ongoing care are separate scopes. You retain ownership of your domain, accounts and contributed content in either arrangement; final deliverables transfer on completion and full payment unless agreed otherwise in writing.

• The written agreement defines deliverables, revision limits, content and approval responsibilities, payment milestones, acceptance, and launch or handover arrangements.
• Managed care includes only the items agreed in writing. Coverage, cadence, any response window, exclusions, fees and exit arrangements are specified separately.
• Extra features, content, integrations and other changes require separate scope and approval. A website enquiry does not authorise these services.

Limitation of Liability

To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to the fees paid for the services giving rise to the claim.
